These Terms of Use ("Terms") govern your access to and use of the HR Tech GPT chatbot and related tools, content, and services (collectively, the "Service") provided by Strazzulla, LLC d/b/a SelectSoftware Reviews ("SSR," "we," "us," or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you are using the Service on behalf of a company or other legal entity, you represent that you are authorized to accept these Terms on its behalf, and "you" refers to that entity.
If you do not agree to these Terms, do not use the Service.
HR Tech GPT is an AI-powered assistant designed to help you research and evaluate HR, payroll, and related software.
The Service may:
The Service relies on large language models and other technologies provided by third-party providers (such as OpenAI or similar model/API providers). Your use of those underlying services may also be subject to their separate terms and policies.
You may use the Service only if you are at least 18 years old and able to form a binding contract, and you agree to comply with these Terms and all applicable laws.
Certain features may require you to provide information such as your name, work email, company, and role, or to create an account on an SSR property. You agree to provide accurate and up-to-date information and to keep your credentials secure.
You are responsible for all activity that occurs under your account or via your credentials.
Subject to these Terms, SSR grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service solely for your internal business purposes related to evaluating HR technology.
You may not use the Service in any way that violates applicable law or regulation.
You may not submit, upload, or otherwise provide sensitive personal data (such as government ID numbers, financial account information, health data, or biometric identifiers) or highly confidential corporate information (such as trade secrets or unreleased financials) that you are not authorized to share.
You may not use the Service to develop, train, or improve competing AI models or HR advisory products without our prior written consent, nor attempt to reverse engineer, extract, or copy any underlying models, data sets, source code, or algorithms.
You may not interfere with or disrupt the Service, its security, or its infrastructure, including through scraping, automated queries that violate rate limits, or denial-of-service attacks.
You may not use the Service to generate or disseminate illegal, fraudulent, harassing, hateful, discriminatory, or otherwise harmful content, or content that infringes the intellectual property, privacy, or other rights of any person or entity.
You may not use the Service in or for the benefit of any country, organization, or person subject to applicable sanctions or export restrictions, or otherwise in violation of export control or sanctions laws.
You are solely responsible for ensuring that your use of the Service and any Outputs complies with all applicable employment, labor, privacy, artificial intelligence, automated decision-making, transparency, bias, fairness, recordkeeping, and notice requirements in any jurisdiction where you operate or make decisions.
SSR may investigate and suspend or terminate access to the Service if we reasonably believe you are using it in violation of these Terms, applicable law, or third-party terms governing underlying technologies.
"Inputs" include prompts, questions, instructions, and any other content or information you provide to the Service.
You retain any rights you hold in your Inputs. You grant SSR a non-exclusive, worldwide, royalty-free license to use, reproduce, process, and store your Inputs as reasonably necessary to provide, maintain, secure, and improve the Service, to create aggregated or de-identified data for analytics and internal product improvement, and to comply with legal obligations and enforce these Terms.
For clarity, SSR does not use your Inputs to train or fine-tune third-party foundation models, except as expressly permitted by those providers' terms or as otherwise agreed by you in writing.
"Outputs" are responses and content generated by the Service based on your Inputs.
Subject to these Terms and applicable law, as between you and SSR, we assign to you any rights we may have in the Outputs solely to permit your internal business use. Outputs may include or be derived from content licensed to SSR or its providers, and you are responsible for ensuring that your use of Outputs complies with applicable law and does not infringe third-party rights.
You acknowledge that Outputs may be inaccurate, incomplete, biased, or outdated and may not reflect current laws or best practices in your jurisdiction.
Outputs do not constitute legal, tax, employment-law, data privacy, or other professional advice. You must independently review and verify Outputs before relying on them.
You agree not to rely on the Service or Outputs as the sole basis for making employment, compliance, financial, or other business decisions. SSR disclaims any duty of care with respect to your reliance on Outputs, and you assume all risk arising from your use of or reliance on the Service and Outputs.
All hiring, termination, compensation, benefits, compliance, and other HR-related decisions remain your sole responsibility.
Unless you have a separate written agreement with SSR that expressly addresses confidentiality or data protection, you should not share information with the Service that you consider confidential, proprietary, or subject to heightened legal protections.
While we use commercially reasonable safeguards to protect the Service, we do not guarantee that Inputs or Outputs will be error-free, permanently retained, deleted, confidential, or secure in all circumstances.
The Service is not designed for processing information subject to heightened regulatory protections (such as protected health information or payment card data), unless expressly agreed in writing.
Your use of the Service does not create any employment, agency, fiduciary, partnership, joint venture, or similar relationship between you and SSR.
SSR does not act as your HR consultant, legal advisor, recruiter, agent, or representative, and does not make or participate in employment or workforce decisions on your behalf.
The Service may reference or recommend third-party HR, payroll, or related software, include links to third-party sites, or facilitate introductions to vendors or advisors.
Third-party sites and services are not under SSR's control, and SSR does not endorse, warrant, or guarantee any third-party product, pricing, security, performance, or suitability for your needs. Your use of third-party services is governed by their own terms and privacy policies.
SSR may receive referral fees or other compensation from vendors if you engage with them after interacting with the Service. You should always conduct your own independent evaluation before purchasing or contracting with any vendor.
The Service may rely on third-party AI and cloud infrastructure providers. Your Inputs, Outputs, and related technical data may be transmitted to and processed by these providers in order to operate, secure, and improve the Service, subject to their own terms and privacy practices.
SSR and its licensors own all rights, title, and interest in and to the Service, including software, models, interfaces, content, trademarks, logos, and branding.
Except as expressly granted in these Terms, you receive no rights or licenses to SSR's intellectual property.
If you provide comments, suggestions, or feedback about the Service, you grant SSR a perpetual, irrevocable, worldwide, royalty-free license to use such feedback for any purpose without compensation.
Your use of the Service is subject to the HR Tech GPT Privacy Policy, which explains how we collect, use, and share information.
For certain business customers and where required by law, our processing of personal data may also be governed by a separate data processing agreement. In the event of a conflict, that agreement will control with respect to data protection matters.
THE SERVICE AND ALL OUTPUTS ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND.
To the maximum extent permitted by law, SSR disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
SSR does not warrant that the Service or Outputs will be accurate, reliable, error-free, uninterrupted, or secure.
To the maximum extent permitted by law, SSR will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, or data, arising out of or relating to your use of or inability to use the Service.
SSR's total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amount you paid to SSR for the Service during the three months prior to the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).
You agree to indemnify, defend, and hold harmless SSR and its officers, directors, employees, affiliates, and licensors from and against any claims, losses, damages, liabilities, and expenses arising out of your use of the Service, your violation of these Terms or applicable law, or your infringement of any third-party rights.
We may modify the Service or these Terms from time to time. When we make material changes, we will update the "Last updated" date and may provide additional notice where appropriate.
We may suspend or terminate your access to the Service at any time if we reasonably believe you are in violation of these Terms, we discontinue the Service, or we are required to do so by law or a third-party provider.
Upon termination, your right to use the Service will immediately cease. Provisions that by their nature should survive termination will survive.
These Terms are governed by the laws of the Commonwealth of Massachusetts, without regard to conflict of law principles.
Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Boston, Massachusetts, and you consent to personal jurisdiction and venue in those courts.
Before filing a formal claim, you agree to attempt informal resolution. If the dispute is not resolved within thirty (30) days, it will be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules, on an individual basis, in Boston, Massachusetts. You waive any right to participate in a class or representative action.
These Terms, together with the Privacy Policy and any additional written agreements between you and SSR, constitute the entire agreement regarding your use of the Service.
If any provision is held invalid or unenforceable, the remaining provisions will remain in full force and effect.
Failure to enforce any provision is not a waiver of that provision.
You may not assign these Terms without SSR's consent. SSR may assign these Terms in connection with a merger, acquisition, or sale of assets.
